1. Acceptance of Terms

The services Sheboygan Works, LLC (“Sheboygan Works”) provides to you, including use of office space and Internet access, are subject to these Terms of Use (“TOU”). Sheboygan Works reserves the right to update the TOU and will attempt to notify you of updates within 30 days using your provided contact information.

2. Description of Services

Sheboygan Works may provide access to office space, work stations, Internet access, office equipment, conference space, knowledge resources, and other services (collectively, “Services”). The Services are at all times subject to the TOU.

3. No Unlawful or Prohibited Use

You will not use the Services for any unlawful or prohibited purpose or in a manner that could damage, disable, overburden, or impair a Sheboygan Works server or network, interfere with another party’s use of the Services, gain unauthorized access to systems or accounts, or obtain material through means not intentionally made available.

You represent that you have the legal authority to agree to these terms and that your use of the Services will not breach another license, contract, agreement, instrument, or obligation.

4. Use of Services

When using the Services, you agree not to:

• Use them for contests, pyramid schemes, chain letters, junk email, spam, or unsolicited messages.
• Defame, abuse, harass, stalk, threaten, or violate the legal rights of others.
• Publish, upload, distribute, or disseminate inappropriate, profane, defamatory, obscene, indecent, or unlawful material.
• Use or distribute protected material without the necessary rights and consent.
• Infringe copyright, trademark, patent, trade secret, or other proprietary rights.
• Upload viruses, Trojan horses, worms, time bombs, corrupted files, or other damaging programs.
• Download files you know or reasonably should know cannot legally be reproduced or distributed.
• Restrict or inhibit another user’s enjoyment of the Services.
• Violate an applicable code of conduct, guideline, law, or regulation.
• Collect information about others without authorization or create a false identity to mislead others.

5. Right to Disclosure

Sheboygan Works reserves the right to disclose information about your use of the Services as necessary to satisfy law, regulation, legal process, or governmental request, and to edit, refuse, or remove information or materials in its sole discretion.

6. Confidentiality

You may be exposed to nonpublic, confidential, or proprietary information belonging to Sheboygan Works, The Source and Recruit Company, LLC, or another participant. Confidential Information includes business, sales, operations, technology, products, employees, customers, marketing, financial information, trade secrets, knowledge gained through the facilities or systems, and analyses derived from that information.

You agree to maintain Confidential Information in strict confidence, not disclose it to third parties, and not use it in a way detrimental to Sheboygan Works, its affiliates, or any participant. Confidential Information remains the property of its respective owner, and these terms grant you no license or proprietary rights in it.

7. Participation In or Use of Services

You acknowledge that you use the Services by your own free will and decision. Sheboygan Works has no liability regarding your access, participation, use of Services, or resulting loss of information.

8. Disclaimer of Warranties

To the maximum extent allowed by law, Services are provided “as is” and with all faults, without express, implied, or statutory warranties, including merchantability, fitness for a particular purpose, accuracy, completeness, title, quiet enjoyment, non-infringement, or freedom from viruses. The entire risk as to quality and use remains with you.

9. Exclusion of Certain Damages

To the maximum extent permitted by law, Sheboygan Works and its affiliates, officers, agents, members, employees, successors, and assigns will not be liable for direct, special, incidental, indirect, punitive, consequential, or other damages arising from participation in, inability to participate in, or use of Services—even if advised of the possibility. Some jurisdictions do not allow some exclusions, so this limitation may not apply to you.

10. Limitation of Liabilities and Remedies

Notwithstanding damages you might incur, the entire liability of Sheboygan Works and related parties under these terms, and your exclusive remedy, is limited to actual damages based on reasonable reliance up to ten U.S. dollars ($10.00), to the maximum extent permitted by law.

11. Termination

Sheboygan Works may terminate any Service at any time and may immediately terminate your participation and use of Services if you do not comply with these terms.

12. Indemnification

You release and agree to indemnify, defend, and hold harmless Sheboygan Works and its related parties against claims, liabilities, losses, damages, costs, expenses, judgments, fines, and penalties arising from negligent actions, errors, omissions, willful misconduct, or fraud connected to your use of Services. If you bring a claim in violation of this agreement, you agree to be liable for related attorneys’ fees and defense costs.

13. Severability

If any provision or portion of these terms is held invalid, illegal, or unenforceable, the remaining provisions remain in full force to the fullest extent permitted by law.

14. Insurance

Sheboygan Works, LLC will carry General Liability insurance. Users are strongly encouraged to carry renters insurance covering their own equipment while using the space.
